User Terms

Preamble

Welcome to register and use the services provided by the NoviOne platform (hereinafter referred to as "the Platform"). This "Service Registration Agreement" (hereinafter referred to as "the Agreement") is a legally binding contract between you (hereinafter referred to as "the User" or "you") and the NoviOne operating entity regarding the use of the Platform's services. Please carefully read and fully understand all terms of this Agreement during registration, particularly those clauses marked with bold, underlined, or italicized text (including but not limited to disclaimer clauses and dispute resolution clauses) that affect your significant rights. By clicking the "Agree" button or otherwise accepting this Agreement and completing the registration process, you expressly acknowledge and agree to be bound by its terms. This Agreement shall have legal effect between you and NoviOne.

Article 1 Confirmation and Acceptance of Terms of Service

1.1 All rights to own and operate this Platform belong to NoviOne. Upon completing the full registration process, users shall be deemed to have met the Platform's registration requirements, accepted the terms of this Agreement, and become the Platform's "users".

1.2 The User confirms that before starting the registration process, the User has the full civil rights and capacity to enjoy the services of the Platform and engage in relevant transactions, and can independently bear all legal liabilities arising therefrom.

1.3 The User expressly acknowledges and agrees that natural persons under the age of 18 shall not use the Platform services. We reserve the right to require age verification and may refuse service to individuals who do not meet the age requirement.

1.4 NoviOne reserves the right, in accordance with national laws and regulations and based on its independent judgment, to manage users' service usage behaviors, including but not limited to refusing service provision, terminating user accounts, deleting or modifying user-published content, and canceling abnormal orders, without prior notice to users.

Article 2 Registration Information and Account Security

2.1 Truthfulness Obligation: Users shall provide truthful, accurate, complete, and legally valid identity information and materials during registration, and promptly update such information when changes occur. Users shall bear full responsibility for the authenticity and legality of all submitted information. If the Platform has reasonable grounds to suspect that the information provided by users contains errors, inaccuracies, obsolescence, or incompleteness, we reserve the right to suspend or terminate services to users, and refuse their current or future use of all or part of the services.

2.2 Privacy Protection: We will protect and use the registration information provided by users in accordance with the "NoviOne User Privacy Agreement" published by this Platform.

2.3 Account Security Responsibility: Upon successful registration, users will receive an account password and have the right to log in to this Platform at any time using the provided username and password. Users shall be solely responsible for maintaining the confidentiality of their account and password, and bear full responsibility for all activities and events conducted under their username. Users agree to: (a) Immediately notify this Platform of any unauthorized use of their account or other security vulnerabilities; (b) Ensure proper account logout procedures are followed after each session. This Platform shall not be liable for any losses resulting from account password leaks caused by user negligence, cyber attacks, fraud, or other non-platform-related incidents.

2.4 Notification and Marketing: The Platform may send users commercial or non-commercial information, including but not limited to order details, transaction status, policy updates, and promotional activities, via email, SMS, in-site messages, or phone calls. Users have the right to opt out of receiving such information through the Platform's provided channels.

2.5 Usage Restrictions: Users shall not lend, transfer, or authorize others to use their Platform account in any form. Violation of these terms will result in full liability for all consequences, including but not limited to losses to borrowers or trustees, as well as damages caused to you or the Platform by their improper conduct.

2.6 Platform Supervision Rights: To maintain Platform operations, investigate violations, and preserve evidence, NoviOne reserves the right to access user accounts for monitoring purposes based on registration information, though it is not obligated to do so.

2.7 User's Responsibility for Behavior: Unless otherwise specified by law or the Platform is at fault, the User shall be fully responsible for all actions (including but not limited to online signing of various agreements, posting information, inquiry, purchase of goods or services, disclosure of information, etc.) and the consequences thereof under the User's account.

2.8 Account Uniqueness: Users acknowledge and agree that a mobile phone number or specific identity information typically allows only one primary account registration on this Platform. If the Platform detects abnormal activities such as multiple account registrations or operations within a short period using the same phone number, payment credentials, device identifiers, or IP address, it reserves the right to classify such cases as "fake registrations" or "related accounts". The Platform may take measures including account consolidation, transaction restrictions, revocation of benefits, or even account freezing or closure without assuming any liability.

Article 3 Overview of Platform Services

NoviOne is committed to providing users with professional digital payment and related fintech services through internet technology within the framework of laws, regulations, and regulatory policies. When using the Platform's services, users must also comply with this Agreement and all rules, operational guidelines, notices, and announcements (collectively referred to as the "Platform Rules") that the Platform has published or may publish in the future.

3.1 Identity Verification: When you submit identity information or documents for KYC, you confirm that the submitted information is accurate and authorize NoviOne to conduct a manual identity review as described in the Privacy Policy. NoviOne approval is a separate decision made by an authorized owner reviewer.

3.2 Sandbox Card-Provider Review: When the identity-verification screen expressly offers sandbox card-provider sharing, your single acceptance of these Terms and the Privacy Policy also records submission-scoped consent for NoviOne to share the submission identified on that screen, including its identity details and document images, with its card provider for sandbox identity checks. This consent does not cover a replacement submission or any other historical submission. Provider approval is required before NoviOne may approve the consented submission, but provider approval does not automatically approve NoviOne KYC. Sandbox cards and sandbox review are testing services and are not production card issuance.

Article 4 User Responsibilities and Obligations

4.1 Compliance: The User undertakes to comply with national laws, regulations, and social public interests or ethics in all activities using the Platform services. The User shall not use the Platform for any illegal or improper activities, including but not limited to:

• Infringement of others' intellectual property rights, trade secrets, privacy, and other legitimate rights and interests;
• Transmitting or publishing false, harassing, defamatory, threatening, obscene, or pornographic information;
• Engaging in any behavior that may compromise the network system or data security of this Platform, such as network attacks or virus propagation.

4.2 Prohibition of Improper Inducement and Commercial Activities: Users shall not induce other users to participate in transactions or behaviors prohibited herein, nor shall they use their accounts on the Platform for any commercial advertising, promotion, or sponsorship activities without explicit authorization from the Platform.

Article 5 Limitation of Liability and Force Majeure

5.1 "As Is" Service Provision: All information, content, products, and services provided by this Platform are delivered "as is" and "as existing". Unless otherwise expressly stipulated in this Agreement, NoviOne expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, absence of defects or omissions, continuity, accuracy, reliability, or fitness for a particular purpose.

5.2 Force Majeure: NoviOne shall not be liable for service interruptions, delays, data loss, or other defects caused by force majeure (e.g., earthquakes, typhoons, floods, fires, wars, government actions), computer viruses, hacker attacks, system instability, third-party service defects, or communication line failures—unless such events are beyond the Platform's control. However, NoviOne will make every effort to minimize any resulting losses or impacts.

Article 6 Modification and Notification of the Agreement

6.1 Agreement Amendment Rights: To accommodate legal changes, operational adjustments, and service quality improvements, NoviOne reserves the right to revise this Agreement at any time. The updated terms shall automatically take effect upon publication on this Platform, superseding the original Agreement.

6.2 User's Ongoing Monitoring Obligation: Users are required to log in and review this Platform regularly to stay updated on the latest Agreement terms. If users disagree with the updated Agreement, they may immediately cease using the service. Continued use of the service shall be deemed acceptance of the updated Agreement.

Article 7 Other

7.1 Divisibility of Terms: If any terms of this Agreement are invalid or unenforceable in whole or in part for any reason, the remaining terms of this Agreement shall remain valid and binding on both parties.

7.2 Feedback Mechanism: NoviOne respects users' rights and values every feedback and suggestion. We have dedicated channels to receive user feedback, and will continuously improve our services and agreements based on this feedback.

This Agreement serves as the fundamental legal document between you and NoviOne regarding the use of this Platform's services and will remain legally binding on both parties.
